TOTAL PEAKING SERVICES, LLC.
                                                                                             

September 2, 2015 through September 11, 2015

General

Total Peaking Services, L.L.C. ("Total Peaking"), a direct wholly-owned subsidiary of United Resources, Inc. (“URI”) is a Delaware limited liability company principally engaged in the business of providing liquefied natural gas storage services under authorization granted by, and subject to the jurisdiction of, the Federal Energy Regulatory Commission (“FERC”).  Total Peaking owns a liquefied natural gas peaking facility in Milford, Connecticut (“Milford Plant”).  The Milford Plant is solely connected to The Southern Connecticut Gas Company (“SCG”), a regulated natural gas distribution company. Total Peaking uses this facility to provide vaporization, liquefaction and LNG storage services.

Modernization Project

Total Peaking hereby announces the commencement of a binding open season for increased daily vaporization capacity of up to 22.500 dekatherm (“dth”) under Total Peaking’s LSV Rate Schedule beginning on or around November 1, 2017 (“Modernization Project”).  The anticipated in-service date for the Total Peaking Modernization Project is only an estimated date, and the actual in-service date will be dependent on ultimate project scope and other factors.  All of the plant’s existing daily vaporization capacity and storage capacity is presently under a long term contract with another shipper.      


Open Season Period

The open season will commence September 2, 2015 at 9:00 A.M. (Eastern Time) and end on September 11 2015 at 5:00 P.M. (Eastern Time) (“Bid Period”).  All bids submitted during the Bid Period will be treated as being received at the same time. 
Qualifying Binding Bid

Total Peaking has an existing agreement with another shipper for the full capacity of the Milford Plant and has entered into a binding service agreement with another shipper for the full increased vaporization capacity of the Milford Plant.  The binding service agreement shall constitute a valid bid during this open season. In order to submit a Qualifying Binding Bid in this open season, a potential shipper must:
              

  1. submit within the open season period an agreement acceptable to Total Peaking that includes a minimum term ending no earlier than June, 2021;
  2. meet certain minimum financial criteria in order to be deemed creditworthy; and
  3. submit a negotiated rate agreement.  

Bids submitted in this open season shall be considered binding on the bidders upon submission and acceptance by Total Peaking as a Qualifying Binding Bid.  The award of capacity will be done in a manner which achieves terms acceptable to Total Peaking.  Total Peaking reserves the right (1) at any time during this open season to terminate or extend the open season period; (2) to modify the scope of the Modernization Project to accommodate market interest; (3) to reject on a not unduly discriminatory basis, any executed service agreement submitted as a bid which does not meet the requirements set forth, and which in Total Peaking’s sole determination is incomplete, is inconsistent with the terms of this open season, contains additions or modifications to the terms and is otherwise deficient in any respect (including failure to provide credit support as Total Peaking deems necessary) or requests service outside the scope of the Modernization Project.
  
Creditworthiness

Prior to submitting a Qualifying Binding Bid, bidders will be required to demonstrate creditworthiness or provide adequate credit support acceptable to Total Peaking.  In order to submit a Qualifying Binding Bid, all potential shippers must meet certain minimum financial criteria in order to be deemed creditworthy.  If an interested shipper is not deemed to be creditworthy, it may still submit a Qualifying Binding Bid by agreeing to provide credit support.   

Turnback Capacity Solicitation (Reverse Open Season)

Any shipper who currently holds firm storage, liquefaction and vaporization service is invited to notify Total Peaking of its desire to permanently relinquish its capacity.  Any shipper who turns back capacity must notify Total Peaking in writing by the close of the open season. Turnback requests are subject to rejection or pro ration based upon the results of this Open Season and this turnback capacity solicitation as determined by Total Peaking in its sole discretion.  Total Peaking must remain economically indifferent between the turnback offer and proposed expansion.  Total Peaking reserves the right to reject in its sole discretion, any turnback requests that are incomplete, contain modifications to the terms of the turnback capacity solicitation, are submitted with any conditions on the turnback capacity, or are economically disadvantageous to Total Peaking.
